"abstractNote": "In this article, ICJ Commissioner, Justice Ian Binnie of the Supreme Court of Canada, describes the progress that has been made, and that which remains to be made, in developing an acceptable legal liability framework for corporate human rights violations. In particular, Justice Binnie cites the ICJ's Expert Panel Report on Corporate Complicity and the SRSG John Ruggie's framework of \"Protect, Respect, and Remedy,\" as important advances in defining this framework. He urges the greater development and use of both criminal and civil theories of liability for holding corporations accountable for violations. "note": "In Presbyterian Church Of Sudan v. Talisman Energy, Inc., 582 F.3d 244 (2ndCir. 2009), an ATS action by Sudanese victims of human rights abuses committed by the Sudanese government, the plaintiffs sued a Canadian oil exploration company, alleging that itaided and abetted or conspired with the government to advance those abuses. The court held that the standard for aiding and abetting liability must be defined by international law, rather than thelaw of the forum, and that, under international law, the mens rea standard is purpose rather thanknowledge alone because “[e]ven if there is a sufficient international consensus for imposingliability on individuals who purposefully aid and abet a violation of international law . . . no suchconsensus exists for imposing liability on individuals who knowingly (but not purposefully) aid and abet a violation of international law.” The court found that the defendant was not liable under this standard under the facts alleged by the plaintiffs.

"note": "In Abdullahi v. Pfizer, Inc., the Second Circuit Court of Appeals held for the plaintiffs in an ATS action brought on behalf of Nigerian children who were subjectto medical experimentation without their consent or knowledge. The defendant, aConnecticut pharmaceutical company, had conducted the experiments in Nigeria withthe approval of the Nigerian government. In an extensive and well-researched opinion, the court found that the prohibition on nonconsensual medical experimenta-tion on human beings constituted a universally accepted and obligatory norm of customary international law, and hence its violation fell within the scope of the ATS. Mindful of the Supreme Court’s directive in Sosa that, in order to provide a basis foran ATS action, the particular norm must be “no ‘less definite [in] content ... than the historical paradigms familiar when [the ATS] was enacted,’” the court explained why the norm in this case satisfied this requirement. (The court also found that the requirement for state action was satisfied because the conduct inquestion occurred in a state facility with the assistance of the Nigerian government. See id. at 188. Finally, in remanding the case on the issue of forum non conveniens, the court noted that the district had erroneously applied the lex loci delicti rather than the Restatement (Second),which is followed in the transfer or forum of Connecticut, and thus required the district court tore-examine its conclusion that Nigerian law would govern the plaintiffs’ state law claims.)
\nJudge Wesley, in a strong and lengthy dissent, contended that the majority“create[d] a new norm [of international law] out of whole cloth,” a norm that was“heretofore unrecognized by any American court or treaty obligation, on the basis ofmaterials inadequate for the task.” The majority responded by characterizing the318dissent’s approach to customary international law as “unselfconsciously reactionaryand static.”

"abstractNote": "The concept of corporate criminal responsibility has long been accepted in common law jurisdictions and has more recently spread to several other national criminal law systems. Germany is one of a few hold-outs limiting criminal responsibility to natural persons, although financial sanctions can be imposed on a corporation when one of its officers has acted criminally on behalf of the corporation. Corporate criminal responsibility can be based on transferring the corporate officer's responsibility to the corporation, or alternatively, on finding fault with the legal person's internal organization. Neither approach is completely convincing in theoretical terms. More importantly, introducing full corporate criminal responsibility requires a re-definition of what constitutes a criminal act as well as the concept of criminal culpability. The author cautions against taking this step too quickly because it might well change the specific nature of criminal law.",
